1. Introduction

 

 

These Terms and Conditions (“Terms”) govern all services provided by TrueWeld Quality Assurance LLC (“Company,” “we,” “our,” or “us”) to any client (“Client,” “you,” or “your”). By engaging our services, you agree to comply with these Terms.

 

 

 

 

2. Services Provided

 

 

We provide welding inspection, quality assurance, welder certification, procedure development, and related consulting services as agreed upon in a written estimate, proposal, or contract. The specific scope, deliverables, and timelines will be outlined in a mutually agreed document.

 

 

 

 

3. Client Responsibilities

 

 

You agree to:

 

  • Provide accurate and complete information regarding your project requirements.

  • Grant safe and timely access to relevant work areas, equipment, and documentation.

  • Comply with all applicable laws, safety standards, and industry regulations.

  • Ensure all site conditions meet applicable safety requirements prior to our arrival.

 

 

 

 

 

4. Fees and Payment

 

 

  • All fees will be outlined in a written proposal or invoice prior to the commencement of work.

  • Payment terms are to be made at completion of service, a 25% deposit is required when client schedules their service, unless otherwise agreed in writing.

  • Late payments may incur interest at 2% per month or the maximum allowed by law.

  • Travel time, per diem, and expenses (if applicable) will be billed as specified in the agreement.

 

 

 

 

 

5. Cancellations and Rescheduling

 

 

  • Cancellations must be made at least 2 business days before the scheduled service to avoid cancellation fees.

  • Rescheduling is subject to availability and may incur additional charges.

 

 

 

 

 

6. Limitation of Liability

 

 

  • We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of production, delays, or costs arising from project interruptions.

  • Our total liability for any claim shall not exceed the total amount paid by the Client for the specific service in question.

 

 

 

 

 

7. Inspection and Reporting Limitations

 

 

  • All inspections are based on the conditions observed at the time of service and according to applicable codes, standards, and procedures.

  • Our reports and findings do not guarantee the performance, safety, or future compliance of any inspected work.

 

 

 

 

 

8. Confidentiality

 

 

We will treat all Client information, documents, and project details as confidential and will not disclose them to third parties without your consent, except as required by law.

 

 

 

 

9. Intellectual Property

 

 

All documents, reports, procedures, and training materials produced by TrueWeld Quality Assurance LLC remain our property unless otherwise agreed in writing. Clients are granted a non-exclusive license to use them for their intended project purposes only.

 

 

 

 

10. Governing Law

 

 

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

 

 

 

 

11. Dispute Resolution

 

 

In the event of a dispute, both parties agree to attempt resolution through negotiation before pursuing arbitration or litigation.

 

 

 

 

12. Amendments

 

 

We reserve the right to modify these Terms at any time. The updated Terms will apply to future services and will be posted on our official website or sent directly to Clients.

 

 

 

By accepting a proposal, invoice, or service from TrueWeld Quality Assurance LLC, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
